Terms & Conditions: College/Adult Students

1.    THE PARTIES TO THIS AGREEMENT ARE:

​        a.   Name of Tutor:  Aaron D. Couch

              (Hereinafter referred to as the "Tutor")

        b.   You, the Client(s) [If Adult Student is the person responsible for booking and paying for his/her own sessions,

               then herein, 'Client', 'Primary Adult' and 'Student' will refer to the same person. Adult Student must be at least 18

               years of age or older.]

2.    TUTORING FEES:

        a.   Fees are based on monthly frequency:

              i.   $45/One-Time Intro-Session: for new clients only; can be used 1 time only.              

​             ii.   $85/Session: for a monthly schedule of 8 sessions or more
            iii.   $95/Session: for a monthly schedule of 7 sessions or less

           
3.    SESSION FREQUENCY:
        a.   To maintain consistent academic progress, it is recommended that Client maintains a regular tutoring   

               schedule. Exceptions are months that have school vacations of 1 week or more.

               i.   Client may notify the Tutor at any time to change frequency of sessions; the change will take place 

                     the following month.
                     A.   Tutor must be notified by the 25th of the current month for the change to take effect the following month.
                     B.   If Client is to change session frequency to less than 4 sessions per month, Client will only have access to 

                            Tutor’s availability on Saturdays and before 5.15pm [Central Time] on weekdays. This is to give priority to

                            students who have regular schedules of 4 sessions/month or more.
             ii.   Note: it is Client’s responsibility to maintain the frequency of sessions each month; this includes shortened

                    weeks that have weekend holidays.
                    A.   If there’s ever any difficulty finding availability on the Tutor’s calendar, Client may contact Tutor and he

                           will assist.

4.    COMMUNICATION:
        a.   Within 24 hours after each session conducted, Tutor will email an Online Session Summary to Client explaining

               the content delivered and may also include, as needed, the academic progress of Student, what content will be

               covered next session, and/or any helpful test/study information.

               i.   *Note: The Online Session Summary is intended for the paying Client; it will not be sent if the Student and

                    Client are one in the same.
              ii.   It is the Client’s responsibility to check his/her email to receive this information. Tutor claims no

                    responsibility for academic or attendance issues due to missed emails/texts.

             iii.  Client must be ready and willing to communicate with Student after each session to make sure that any

                    recommended work assigned by Tutor is completed between tutoring sessions.

        b.   Communication is prioritized for Primary and if applicable, Second Adult. Methods of communication include:

               text, phone, and/or email.
               i.   If Tutor is to email/text/call Student, it will be for academic reasons only. Tutor to keep records of all written

                    communication. Client accepts and allows Tutor to be in direct contact with Student outside of sessions.

              ii.  If Client did not initially provide Student's cellphone number for the automatic text reminder sent by the

                    booking system and Student later requests this service, then Tutor will enter the number into the booking

                    system and will immediately email Primary and [if applicable] Second Adult with the update. Either Adult may

                    request to have Student's number removed from the booking system at any time.

             iii.  Tutor is not personally obligated:
                    A.   To remind Client of upcoming sessions.
                    B.   To be in contact with Student’s teacher for any reason.
        c.   For the adults listed on Client's profile when booking Student's session(s) on www.TheAlgebraMan.com, the

              booking system will send an email reminder within 48 hrs of an upcoming session, a 2nd email reminder 8 hrs
              prior, and a text message 1 hour prior.

              i.   The booking system will give Primary Adult and [if applicable] Second Adult the option to reschedule by

                    means of the 'Change Appointment' button at the bottom of the reminder email sent 48 hours prior to the

                    upcoming session. Therefore, both Primary and Second Adult may have the ability to reschedule the Student's

                    upcoming session. Communication between Primary and Second Adult is strongly encouraged.

            ii.    It is not advised for Client to forward to Student any email sent by the booking system. Having this email may

                    give Student unauthorized access to rescheduling/cancellation of sessions.

           iii.    If Second Adult would like to opt-out of receiving email and/or text reminders, Primary Adult or Second

                    Adult may email Tutor at any time and he will update the system. 

​            iv.    Note: Text messages may include an additional fee on some data plans. Client accepts this.


5.    SCHEDULING:
        a.   Client must use the online booking system to reserve, cancel and/or reschedule sessions:
               i.   https://www.thealgebraman.com/scheduling
        b.   Sessions must be scheduled at least 24 hours before desired session time.
        c.   Only Client may have access to scheduling [Student, if different from Client, is not allowed to book/reschedule

               /cancel sessions].
        d.   Client may schedule additional sessions at any time as needed. Any additional sessions scheduled for the current

               month will be invoiced immediately at the same current rate for that month; payment must be completed prior to

               the tutoring session.
        e.   Tutor may use the booking system to reserve future session times on behalf of Client reflecting an agreed-upon

               schedule for the rest of the semester/school year. This is to simply reserve Client’s desired session day/time and

               are billed monthly.
        f.    The booking system allows for future bookings to be made through the end of the current semester of the regular

               school year. Client may reserve sessions for the 2nd semester on January 1st onward.

6.    CANCELLATIONS/RESCHEDULING:
        a.   Client can view and reschedule sessions online. This may be done by either using the links provided in the

               automated reminder emails sent by the online booking system as well as directly through Client’s online account.
        b.   Tutor is not responsible for managing Client’s bookings. If Client needs to make a change of any kind to a session

              day/time, he/she must use the online booking system.
        c.   Schedule changes can be made up to 24 hours before the session is to begin. Thereafter, the booking system not 

              accept changes for the upcoming tutoring session.
              i.   If Client needs to cancel within the 24-hour window of a session, Client may directly contact Tutor. The

                   session fee will be forfeited.
        d.   Sessions cannot be carried over to the next month. Sessions scheduled and billed for a current month must be

              completed in the same month; this includes all schedule changes.

              i.   Note: If Client moves a session to a future month, Tutor will immediately cancel this session and notify Client

                   that he/she will need schedule a new session for the current month in order to utilize that session's credit.

7.    NO-SHOWS:
        a.   If Student does not show/log-on within 15 minutes of the session start time and there is no communication from

              Client, Tutor will log-off and the session fee will be forfeited. An email will be sent to Client informing him/her of

              the no-show.

8.    PAYMENT/INVOICING:
        a.   On the 25th of each month, Tutor will email Client a Monthly Tutoring Invoice, which includes a detailed list of

               session dates/times scheduled for the following month, the number of sessions chargeable, and total fees due.

               i.   Depending on the preferred method of payment specified by Client, a payment request will be sent via Venmo,                       Zelle, or PayPal and for credit/debit card transactions, a link will be included in the invoice for secure payment.

                    A.   3% additional charge will be assessed for all credit/debit card transactions.

                    B.   If Client decides to use the 'Buyer's Protection' option on Venmo or the 'Goods and Services' [instead of

                           'Friends and Family'] option on PayPal, Client will have to reimburse Tutor for the additional service charge

                           billed to Tutor by the platform. A separate request for the amount will be sent to Client after original

                           payment and must be paid prior to the upcoming session.
             ii.   Payment is due prior to the first session of the month or by the end of the first week, whichever comes first.

                    A.   *Please wait to be invoiced and the Venmo/Zelle/PayPal payment request or the credit card payment link to

                           be sent before paying.

            iii.   For new clients: sessions will be billed [by means of an emailed invoice] for the first month shortly after the

                    Client schedules sessions. The first month [only] will be pro-rated and Client will be charged the per-session

                    rate based on the session's weekly frequency. Thereafter, the fee will be based on the total number of sessions

                    scheduled on a monthly basis. Payment must be made prior to the first session for service to commence.

                    A.   If Client books sessions near the end of a given month, so as to avoid sending two invoices to Client within a

                           week, Tutor may group the session(s) from the last part of the previous month with the sessions of the

                           upcoming month and charge Client at once for all sessions. 

            iv.   Sessions may be grouped together over a longer period of time than a month if scheduled during vacation time.
             v.   If Client does not complete payment on/before this time, service will be temporarily
suspended until payment

                   is completed, in-full, by Client. Future sessions may be canceled by Tutor. Any missed sessions due to service

                   suspension will not be reimbursed/credited.
                   A.    Tutor may cancel contract if Client cannot pay monthly fees consistently on time.
       b.  Client is responsible for the purchase of any additional materials outside of the classroom.


9.    REFERRAL PROGRAM:
        *For each new client signed-up through Client’s referral and two months of successful service through the new

        client, TWO free sessions will be provided to Client.

10.   HOLIDAYS/TUTOR AVAILABILITY:
         a.   The Tutor is available throughout the academic year while school is in session and on a limited schedule during

               summer vacation.
         b.  Unless agreed upon by Tutor and Client, tutoring will not commence on national holidays or extended school

               vacations as reflected in the booking system.

               i.   If a holiday falls on a day normally scheduled for tutoring, then in order for Client to maintain the same per-

                    session rate, the session will need to be scheduled for a different day/time during the same month so as to

                    maintain the required monthly session frequency.

                    A.   Note: When invoicing for that month and/or reserving future sessions on behalf of Client, Tutor will inform

                           Client of this schedule change for the given week.
              ii.  For invoicing purposes, Client may notify Tutor if Student’s fall/winter/spring vacations differ from the dates

                    blocked off in the booking system.

                    A.   *Please notify Tutor by the 25th of the previous month. Tutor will adjust the sessions billed for those

                           vacation months and Client’s usual rate will still apply.

         c.   Client may schedule additional sessions, as needed, at any time using the booking system, pending Tutor’s

                availability. This includes sessions for final exam preparation as well as summer sessions.

         d.   Summer sessions may be booked anytime starting May 1st.

11.   OBLIGATIONS OF TUTOR:
         a.   The Tutor undertakes to do all preparation prior to lessons and to structure lessons in such a way as to optimize

                time to the benefit of the Student.
         b.   Tutor shall at no time be required to complete homework or other assignments on behalf of the Student. These

                assignments, however, may be routinely used as study tools during sessions as they are an important

                component for further content practice and test preparation.
         c.   Tutor provides instruction for one subject only during a given session. If Student needs instruction on more than

                one subject, Client must schedule additional sessions to facilitate additional instruction in different subjects.
         d.   The Tutor shall not assign any of his/her duties or obligations under this tutoring contract to a third party

                without the written permission of the Client.

12.   OBLIGATIONS OF THE STUDENT:
         a.   It is the Student’s responsibility to be aware and communicate to the Tutor all deadlines for projects, homework,

                and assessments. Although the Tutor will make every effort to be up-to-date on all classroom activities

                [depending on the accuracy of the Teacher’s classroom website], for all class-related content, the Student must

                know what material needs to be covered, have questions ready, and have the necessary resources [class

                papers/textbook/laptop w/ battery charged] available during each tutoring session.
         b.   During each session, Student must present current grades, homework/test results, and any late/missing work.

                i.   Student must have access to homework/class/grade account and/or teacher’s class website [for example,

                     Google Classroom log-in]; Tutor will not have access to Student’s accounts or passwords.
         c.   The Tutor is a resource only. The academic performance of the Student is based on his/her individual effort. 

               Questions about grades and classroom performance are between the Student, Teacher and Parents/Guardians

               only.
         d.   The Student agrees that assignments, exercises and/or homework form an integral part of the tutoring session

                and undertakes to complete such work promptly. The Student agrees to also follow Tutor’s instructions from one                   session to the next to be prepared so as to best utilize session time.

13.   AGREEMENT TERMS:
         a.   These terms may be updated, as necessary, anytime throughout the calendar year. If and when this occurs,

               Tutor will notify Client immediately via email with at least 30-days notice prior to the new Terms &

               Conditions taking effect. Client may view the Terms & Conditions at any time using the link provided at the

               footer of Tutor's emails as well as in the scheduling confirmation emails sent by the booking system.

               i.   Client's continued patronage 30 days after Tutor's update indicates acceptance of new Terms &

                    Conditions and must adhere to the new and current terms stated therein.          

         b.   At Will: To make things flexible for the Client, these Terms & Conditions are on an ‘at will', month-to-month

               basis.

​               i.   Although emergencies may come up during the school year, it is not recommended for Client to pause

                     service at any time during the school year because it disrupts the Student's learning.

                     A.   Nevertheless, Client may stop service at any time during the school year; it is requested that Tutor be given

                            at least 2 weeks notice. Any session(s) left in the month must be utilized by Client or else they will be

                            forfeited.

             ii.    If Client is to reinstate service during the same school year, new Terms & Conditions, if any, must be

                     accepted and fees may be increased [up to $10/session] for all scheduled sessions moving forward.

         c.   No Warranties: The Tutor makes no promises or warranties with regards to Student's performance. If it is

               apparent to the Tutor at any time that the Student is not benefiting from the service or is not taking the tutoring

               service or his/her own academic success seriously, Tutor may, at his own discretion, terminate this contract,        

               with due notice, in the best interest of all parties. Any session credit remaining for the month will be

               reimbursed.
               i.   If an unrealistic number of cancellations/schedule changes occur, Tutor may cancel contract due to lack of

                    consistency.
         d.   Media Permission: Client and Student allow Tutor [Aaron D. Couch, on behalf of Tutor by Design, LLC] to

                print/post online success stories and Client’s [and if appropriate, Student's] reviews, including photos and/or

                videos, on behalf of himself and Student’s ​​successful academics as it pertains to marketing purposes of Tutor by

                Design, LLC, only.

                i.   Client may opt out by emailing Tutor directly. Email must be sent at the same time these Terms and

                     Conditions are accepted.

         ​e.   Privacy Policy: Tutor shall keep confidential all personal information of Client/Student. The use of all personal

                data of Student and Client is solely for use of direct communication with them [and them alone] and for teaching

                purposes through Tutor by Design, LLC. Such data will not be given out, sold, or manipulated in any way, but

                rather, will remain in-house and encrypted.

         f.    Online sessions are documented, through photos of our work, and are sent to Client in the Online Session

                Summary after each session. This is for quality assurance and record-keeping purposes for both parties.
         g.   Relaxation of Terms: Any relaxation, indulgence, waiver or release by any party of any of the rights in terms of

                this agreement on one occasion shall not prevent the subsequent enforcement of such rights and shall not be

                deemed to be a waiver of any subsequent breach of any of the terms.
         h.   Acknowledgment of Safety Waiver: It is expressly understood by Student and Client that however unlikely in an

                online setting, although the Tutor will do everything possible to educate the Student in a safe and conducive

                environment, if the environment becomes unsafe or inappropriate for the Student and/or Tutor for any reason,

                the session will end immediately at the discretion of the Tutor. The session fee will not be pro-rated or

                reimbursed.
         i.    Acknowledgment of Personal Liability  Waiver: Client hereby releases, indemnifies, and holds harmless Aaron D.

                Couch and the entity, Tutor by Design, LLC, from and against all claims, demands, actions, complaints, and suits,

                including any and all related costs, attorney fees, liabilities, settlements, judgments and/or other forms of

                liability that may sustain arising out of any damage or injury caused to Student.
         j.    This agreement constitutes the entire understanding between all parties with regard to the subject matter

                thereof and the parties waive the right to rely on any alleged, expressed, or implied provision not contained

                herein. Any alteration to this agreement must be in writing and [digitally] signed by both parties.
